Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Simple MD website, patient portal, clinician workspace, and related services (collectively, the "Services"). By creating an account or using the Services, you agree to these Terms.

1. About Simple MD

Simple MD operates a technology platform that connects patients with independent, licensed clinicians and supports pharmacies, laboratories, and sponsoring organizations. Simple MD does not itself practice medicine, fill prescriptions, or perform laboratory testing. Clinical services are provided by independently licensed professionals who exercise their own professional judgment.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and located in a U.S. state where the requested service is offered. Sponsoring organizations may restrict eligibility for their members.

3. Telehealth service limitations

  • The Services are not for medical emergencies. If you are experiencing an emergency, call 911 or go to the nearest emergency room.
  • Telehealth may not be appropriate for every condition. Clinicians may decline to treat, refer you to in-person care, or require additional testing at their sole discretion.
  • Prescriptions, refills, lab orders, and treatment plans are issued at the prescriber's sole clinical discretion. Payment does not guarantee a prescription or a particular treatment.
  • Controlled substances are dispensed only when permitted by federal and state law and the prescriber's professional judgment.

4. Patient accounts and accuracy

You agree to provide accurate, complete, and up-to-date information, including medical history, medications, allergies, and contact details. Providing false information may cause clinical harm and may result in termination of your account.

5. Payments, subscriptions, and refunds

Fees are presented before checkout. Subscriptions renew automatically until cancelled. Because clinician review and pharmacy fulfillment begin shortly after an order is placed, refunds for clinical services and dispensed medications may be limited. Shipping and dispensing fees are generally non-refundable once incurred.

6. B2B organization accounts

Where the Services are offered through an employer, plan, clinic, or other sponsoring organization ("Organization"), the Organization may configure available treatments, eligibility, branding, and certain operational data. The Organization is responsible for its own use of the platform and for compliance with its agreements with members. Simple MD's processing of PHI on behalf of an Organization is governed by the applicable Business Associate Agreement.

7. Acceptable use

  • No misuse, reverse engineering, scraping, or unauthorized access of the Services.
  • No sharing of accounts or impersonation of another person.
  • No use of the Services to harass, threaten, or defraud others.

8. Intellectual property

The Services, including software, content, and branding, are owned by Simple MD and its licensors. You receive a limited, non-exclusive, non-transferable license to use the Services for their intended purpose.

9. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. SIMPLE MD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SIMPLE MD WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, OR DATA, ARISING OUT OF OR RELATED TO THE SERVICES.

11. Indemnification

You agree to indemnify and hold Simple MD harmless from claims arising out of your misuse of the Services or violation of these Terms.

12. Termination

We may suspend or terminate access to the Services at any time for any reason, including violation of these Terms or risk to patient safety.

13. Governing law and disputes

These Terms are governed by the laws of the state in which Simple MD is incorporated, without regard to conflict-of-laws principles. Disputes will be resolved as set forth in a separately posted dispute-resolution addendum, where applicable.
